  1. General information about A.C.T. - OFFSHORE (PTY) LTD.:

    1. We have been operating since 1995 (formerly Victoria Registered Agents (Pty) Ltd). We incorporated the very first Seychelles IBC.

    2. We offer special pricing to agents. Discounts are available for fellow accountants, lawyers and company incorporators.

    3. We maintain confidentiality and secrecy for all clients at all times. The only public record kept is the Memorandum & Articles of the IBC.

    4. We have a number of companies ready-made on our shelf list. Currently a list of ready made IBCs from 1996 onwards is available. Click on the "Shelf Companies" entry on the main menu to request a list.

    5. We charge an extra US$50 for Hague Convention Apostile, an extra US$75 for Courier, and an extra US$50 per hour for Re-Invoicing. The extra Nominee service fee is by negotiation.

    6. We accept as payment cash, Visa and MasterCard or funds via Bank Transfer.



  2. General information about the Seychelles offshore industry:

    1. The offshore industty is administered by SIBA, the Seychelles International Business Authority. SIBA is chaired by Vice-President James Michel. Other members of the board are from both the government and the private sector.

    2. SIBA also administers the Seychelles International Trade Zone (SITZ). The SITZ offers tax benefits, especially to companies engaging in light manufacturing, re-processing or re-distribution, or as regional headquaters, management services operations etc.

    3. Seychelles offers International Business Companies (IBCs), International Trusts, Offshore Banking, Offshore Insurance and a competitive jurisdiction in which to register aircraft and ships.



  3. General information about the Seychelles International Business Companies:

    1. Subject to name approval, it takes approximately 24 hours to incorporate an IBC.

    2. Words such as Bank, Institute, Fund, Royal, Insurance will not be approved.

    3. The IBC name must include a "corporate I.D. tag". Examples are Inc., Ltd., S.A., PLC. or the appropriate long form.

    4. The company must conduct business outside of Seychelles. In Seychelles it may hold shares and securities in domestic companies, manage vessels or aircraft registered in Seychelles, and lease property for use as an office in Seychelles.

    5. Share capital up to US$5,000 secures the minimum fee, over US$5,000 it attracts extra government levy. A minimum of one shareholder is required. Shares can be bearer shares or nominative shares.

    6. The annual fee is fixed for life and is payable at latest, the day before anniversary of incorporation.

    7. Automatic penalties for late payment will otherwise apply at 10% (for 1-90 days) and 50% (for over 90 days). The IBC will be struck off at 31st December following if still unpaid.

    8. A a minimum of one director is required. Directors may be corporate or individuals.

    9. Books and records can be kept outside Seychelles or domestically and there is no need to file accounts with the Registrar.

    10. You are required to have a registered agent. We, A.C.T. - OFFSHORE (PTY) LTD., will provide the following: Memorandum and Articles of Association. We A.C.T. - OFFSHORE (PTY) LTD. (Registered office) situated 12 Oliaji Trade Centre, PO Box 1377, Victoria, Seychelles represent the IBCs with the regulatory authority.



  4. General information Seychelles Trusts:

    1. There is a one-off registration fee.

    2. There is no requirement to mention the name of the settler or beneficiary, unless the latter is a Seychellois national or body corporate resident in Seychelles.

    3. The settlers or trustees can themselves be named as beneficiaries.

    4. The Trust may own and trade in shares, operate bank accounts and deal in government securities in Seychelles.

    5. The law governing the international trust can be chosen by the trustees.

  5. General information about aircraft and ship registrations:

    1. Ship registration is governed by the Merchant Shipping Act 1992. Seychelles is party to the following international conventions: the Collisions Convention; the Load Line Convention; the Safety Convention; and the Conventions of the International Maritime Organisation.

    2. Seychelles has qualified personnel offering international standards based on US FAA & UK CAA criteria. Bureaucracy is kept to a minimum. The regulations for aircraft registration allow the registration of mortgages on aircraft.



  6. General information about The Seychelles:

    1. The Seychelles are a group of islands located in the Indian Ocean, to the east of the African continent, and are north northeast of Madagascar.

    2. The Seychelles has a tropical marine climate. Generally it is warm and humid. The cooler season is during the southeast monsoon (May to September). The warmer season is during the northwest monsoon (October to March).

    3. There are few natural hazards - the islands lie outside the cyclone belt, so severe storms are rare. There are occasional short droughts.
